Dimension Data Holdings Plc completes acquisition of Proxicom, Inc.

Dimension Data Holdings plc ("Dimension Data") announced today the successful completion of its acquisition of Proxicom, Inc. ("Proxicom"). Dimension Data completed the acquisition on June 19, 2001 by merging its indirect wholly-owned subsidiary Putter Acquisition Corp. with and into Proxicom, with Proxicom continuing as an indirect wholly-owned subsidiary of Dimension Data. The merger followed the cash tender offer by Putter Acquisition Corp. for all outstanding shares of Proxicom at $7.50 per share.

Pursuant to the tender offer, Putter Acquisition Corp. purchased shares representing approximately 96.3% of outstanding common stock of Proxicom.

In the merger, each outstanding share of common stock of Proxicom not previously purchased in the tender offer was converted into the right to receive the same $7.50 per share cash price paid in the tender offer. Dimension Data and Proxicom announced the terms of the tender offer and the merger on May 11, 2001.
